Terms of Service

Please read these Terms and Conditions carefully before using the Dropwayz platform or making any booking. By accessing or using the platform, or by completing a booking, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

1. About Dropwayz

Dropwayz LLC ("Dropwayz", "we", "us", or "our") is a limited liability company registered in the State of California, United States, with its registered address at 3400 Cottage Way, Ste G2, Sacramento, California 95825, United States.

Dropwayz operates the digital platform accessible at https://dropwayz.com and all associated subdomains (collectively, the "Platform"), an online marketplace and booking intermediary that connects passengers seeking ground transportation ("Passengers") with licensed and vetted transportation service providers ("Transport Partners").

Dropwayz acts solely as an intermediary and booking facilitator. The actual transportation service is provided by the Transport Partner, not by Dropwayz. The contractual relationship for the provision of transportation is between the Passenger and the Transport Partner. Any issues or liabilities arising from the provision of transportation services are the responsibility of the Transport Partners and not of Dropwayz.

By completing a booking or using the Platform in any way, you agree to be bound by this Agreement in full. Dropwayz reserves the right to update or modify this Agreement at any time, without obligation to provide prior notification. Changes are effective immediately upon publication on the Platform. Continued use of the Platform following any change constitutes your acceptance of the revised terms.

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in the State of California, and the parties hereby consent to the personal jurisdiction and venue of such courts.

2. Eligibility and Account Registration

To use the Platform and make bookings, you must be at least 18 years of age and possess full legal capacity to enter into binding agreements under the laws of your jurisdiction.

You may complete a booking as a guest by providing your full name, email address, and phone number. Upon successful payment, a Passenger account ("Passenger Portal") is automatically created using the email address you provided. You are responsible for maintaining the accuracy of your information at all times.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify Dropwayz at [email protected] if you suspect any unauthorised use of your account.

Dropwayz reserves the right to suspend or permanently terminate your account if you breach any provision of this Agreement, provide false or misleading information, or if Dropwayz reasonably believes your account is being used for fraudulent or unlawful purposes.

You may not create more than one Passenger account. Duplicate accounts may be terminated without notice.

3. How the Booking Process Works

Submitting a Booking

You may submit a transfer booking request specifying the pick-up location and destination, date and time of travel, number of passengers, luggage requirements, and any special requests. A booking is confirmed only upon receipt of full payment and issuance of a booking confirmation by Dropwayz.

Upon confirmed payment, a booking voucher will be sent to your registered email address containing your booking details. Dropwayz will then assign a suitable Transport Partner from its vetted network, and your Passenger Portal will be updated with the assigned driver's name, contact number, and vehicle details (make, model, and licence plate). You may be asked to present this information to the driver upon pick-up.

Pricing

All prices displayed on the Platform are fixed and inclusive of applicable fees, standard tolls, and taxes at the time of booking. The price will not change after confirmation unless you materially alter the booking details. Additional charges may apply for waiting time beyond the complimentary period, undisclosed extra luggage, route changes, or additional stops agreed with the Transport Partner.

Prices are quoted in the currency selected by you at the time of booking, based on the exchange rate available on the Platform at the time of booking. Dropwayz makes no guarantee as to exchange rates and is not liable for currency fluctuation between quote and settlement by your bank.

Transport Partner Assignment

Following confirmed payment, Dropwayz assigns a Transport Partner best suited to your transfer based on route, vehicle type, and availability. In exceptional circumstances — including Transport Partner unavailability due to mechanical failure, illness, or force majeure events — Dropwayz will endeavour to reassign your booking to an alternative Transport Partner of equivalent or superior standard. If reassignment is not possible, a full refund will be processed and you will be notified as soon as practicable.

4. Payment Terms

Full prepayment of the transfer price is required to confirm any booking. Bookings are not confirmed until payment has been received and processed.

Dropwayz uses Stripe (operated by Stripe, Inc., South San Francisco, California, U.S., and Dublin, Ireland) as its exclusive payment processor for all transactions conducted through the Platform. Dropwayz expressly disclaims any involvement in the handling, processing, or retention of any payment-related information provided by you. All transactions are subject to Stripe's own terms of service and privacy policy.

Payment may be made by credit or debit card, or such other payment methods as may be made available on the Platform from time to time.

Payment of the transfer price shall be made in the currency selected by you and calculated based on the exchange rate provided by Dropwayz at the time of booking. Your payment may be debited from your bank or card account in a currency different from the one selected, subject to bank or payment system requirements. Any foreign exchange fees or conversion charges imposed by your bank are your sole responsibility.

All payments are inclusive of any applicable taxes, which remain the sole responsibility of the Passenger. All payments shall be made without deductions or withholding, with any required deductions or withholdings being the responsibility of the Passenger. There are no cost limits for booking payments.

By accepting this Agreement, you explicitly consent to the automatic debiting of amounts from your bank or card account for each transfer, including any additional waiting or driving time incurred where included in the Transport Partner's offer.

5. Cancellation and Refund Policy

Passenger Cancellations

You may cancel a confirmed booking from your Passenger Portal. Cancellations must be formally communicated via email to [email protected]. The time of cancellation is recorded as the time at which the cancellation is formally submitted.

  • Cancellations made more than 24 hours before the scheduled pick-up time are eligible for a full refund to your original payment method.
  • Cancellations made within 24 hours of the scheduled pick-up time result in a 100% loss of payment. The full cost of the booking is non-refundable and you accept liability for that full amount.
  • For round-trip bookings, each direction is treated independently. You may cancel one direction without affecting the other, provided cancellation is made at least 24 hours before that direction's scheduled pick-up time.
  • Material changes to your booking — including changes to the pick-up time, route, passenger count, or vehicle class — shall be construed as a cancellation initiated by you, affording the Transport Partner the discretion to decline service under the amended terms. Refunds for such cancellations are processed in accordance with the above timeframes.

Transport Partner Cancellations

In the event that a Transport Partner cancels your confirmed booking and Dropwayz is unable to assign an alternative Transport Partner, you will receive a full refund of the transfer price. Dropwayz will use reasonable endeavours to notify you as early as possible and will attempt to source an alternative Transport Partner.

No-Shows and Non-Refundable Circumstances

No refunds, whether full or partial, shall be issued in the following circumstances:

  • You or any designated passenger fails to arrive at the agreed pick-up location within the applicable waiting period: 60 minutes at the airport, and 15 minutes at all other locations.
  • You introduce Special Cargo for transfer without prior authorisation.
  • You transport prohibited cargo.

If you cannot locate your driver, you must contact Dropwayz support immediately via the contact details provided in your Passenger Portal before the waiting period expires. Dropwayz will not be able to process refund requests where the Passenger failed to make contact in time.

Refund Process

All refunds are processed by Dropwayz through the original payment method used at the time of booking. Dropwayz administers refunds in accordance with the terms of this Agreement. Any private payment arrangements made directly between a Passenger and a Transport Partner outside of the Platform are outside the scope of this Agreement, and Dropwayz accepts no responsibility for such arrangements.

6. Waiting Time Policy

Drivers will wait for Passengers for the following complimentary periods:

  • Airport pick-ups: 60 minutes from the confirmed or actual flight landing time, whichever is later.
  • All other pick-up locations (hotels, residences, cruise terminals, etc.): 15 minutes from the agreed pick-up time.

Waiting time beyond the complimentary period may be charged at the Transport Partner's applicable rate. You expressly consent to such additional charges by proceeding with your booking. If you anticipate exceeding the complimentary period, contact Dropwayz or the driver directly using the details in your Passenger Portal as soon as practicable.

Dropwayz does not guarantee that a driver will wait beyond the complimentary period. After the complimentary period elapses, the driver may be released and the booking treated as a no-show (non-refundable).

7. Passenger Responsibilities and Conduct

Legal Capacity and Representations

You confirm that you have the legal capacity, as defined by the laws of all relevant jurisdictions, to enter into this Agreement. You affirm voluntary consent to be bound by its terms and assert the authority and capability to fulfil all obligations outlined herein. You confirm that your adherence to this Agreement complies with all applicable laws, and that all obligations outlined herein are legally binding and enforceable upon you.

You confirm thorough review and full understanding of the terms of this Agreement, and assure continued adherence to the stipulated terms for the duration of your utilisation of the Platform. You attest that all information provided to Dropwayz is accurate, complete, and not misleading, recognising Dropwayz's reliance on this information.

General Obligations

  • Regularly check for and review updates or announcements regarding the Platform.
  • Utilise the Platform only for its intended purposes and in strict compliance with the terms of this Agreement.
  • Immediately notify Dropwayz if any information provided under this Agreement becomes inaccurate, incomplete, or misleading.
  • Refrain from engaging in any actions that may disrupt or impede the functionality of the Platform.
  • Assume full responsibility for safeguarding account information, including passwords, ensuring its confidentiality and accuracy.
  • Respect and preserve any copyright, trademark, or proprietary notices associated with the Platform.
  • Not reproduce, alter, distribute, or exploit the Platform beyond the permissions explicitly granted by Dropwayz.
  • Abstain from attempting to access or decode the Platform's source code, except as may be permitted by applicable law.
  • Avoid linking to or framing any part of the Platform without explicit authorisation from Dropwayz.
  • Refrain from engaging in any unauthorised data collection activities that may overload or obstruct the Platform's operation.
  • Not attempt to gain unauthorised access to the Platform or its associated systems.
  • Refrain from using Dropwayz's names, logos, or trademarks without explicit permission.
  • Respect Dropwayz's intellectual property rights and refrain from any infringement.
  • Adhere strictly to all applicable laws and regulations, including tax laws, while using the Platform.
  • Ensure complete compliance with all necessary documentation and requirements for travel, including cross-border travel where applicable, taking full responsibility for any deficiencies. Dropwayz, nor any affiliated Transport Partner or driver, shall be held liable for any deficiencies or inaccuracies in your documentation.
  • Provide any evidence of compliance with this Agreement promptly upon request by Dropwayz.

Conduct During Transfer

  • Passengers must treat drivers and Transport Partner personnel with respect at all times. Abusive, threatening, discriminatory, or unsafe behaviour is strictly prohibited and may result in immediate termination of the transfer without refund.
  • You agree to comply with the rules outlined by the Transport Partner, its drivers, and appointed agents.
  • Smoking (including e-cigarettes and vaping) and consumption of alcohol in vehicles is prohibited unless expressly permitted by the Transport Partner.
  • Passengers must comply with all local laws applicable to their transfer, including road traffic laws and public order requirements of the relevant jurisdiction.
  • Any damage to a Transport Partner's vehicle caused by a Passenger will be the sole financial responsibility of that Passenger. Dropwayz accepts no responsibility for any such costs.

Luggage and Special Cargo

Luggage allowances are as agreed at the time of booking. You must declare all luggage requirements accurately during booking. While vehicles provided by Transport Partners are fully insured for passenger and third-party claims as required by local law, the carriage of your baggage is entirely at your own risk. Dropwayz does not accept responsibility for any costs incurred or arrangements made in returning lost or forgotten items; passengers must contact the Transport Partner directly for any such issues.

Special or oversized cargo (sports equipment, wheelchairs, prams, large instruments, etc.) must be declared at the time of booking. Undisclosed special cargo may result in refusal of carriage without refund. The following are strictly prohibited in all transfers: illegal substances, weapons, explosives, hazardous materials, or any items whose carriage is prohibited by the laws of the relevant jurisdiction.

Documentation and Border Crossings

For transfers involving border crossings, you are solely responsible for ensuring that you and all passengers hold valid travel documents (passports, visas, residency permits, and any other documentation required by the relevant authorities). Neither Dropwayz nor any Transport Partner or driver shall be liable for delays, refusals of entry, fines, or other consequences arising from a Passenger's failure to hold valid or appropriate documentation. Cross-border transfer availability is subject to applicable entry and exit regulations of the relevant jurisdictions and may be modified or suspended by Dropwayz at any time in response to regulatory changes.

Feedback

Following the completion of a transfer, you are encouraged to provide feedback by rating the Transport Partner's performance on a scale of one to five stars within 30 days. In the event of a transfer non-fulfilment due to the Transport Partner's fault, you may mark the transfer as a no-show within 24 hours of the agreed starting time, resulting in a zero-star rating for the Transport Partner.

8. Dropwayz's Role and Limitations

Dropwayz is an intermediary platform and booking facilitator. Dropwayz does not own, operate, or employ the drivers or vehicles used to provide transportation services. Transportation is provided by Transport Partners, who are independent third-party operators. Dropwayz's liability is strictly limited to facilitating the exchange of information and payment between Passengers and Transport Partners. Dropwayz bears no responsibility for disputes, losses, or damages arising from interactions between Passengers and Transport Partners.

All Transport Partners are required to hold valid commercial transport licences, insurance, and regulatory authorisations as required by the laws of the relevant jurisdiction. Dropwayz conducts due diligence on Transport Partners at onboarding but is not responsible for any lapse in a Transport Partner's regulatory status after onboarding.

Dropwayz endeavours to provide 24/7 support services via various communication channels, including email. Support is provided on a best-efforts basis and is not guaranteed at all times. Dropwayz does not guarantee the availability of any particular vehicle class, Transport Partner, or route. Circumstances beyond Dropwayz's control may require substitution of a Transport Partner or vehicle of equivalent or superior standard.

Passengers acknowledge the potential existence of technical constraints or disruptions in Dropwayz services which may impact availability or functionality. While Dropwayz endeavours to mitigate such disruptions, Passengers agree to assume the associated risks or inconveniences.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Dropwayz provides no warranty regarding the Platform or any information provided to you. Dropwayz expressly disclaims all warranties and conditions, whether express or implied, including:

  • Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Any warranties regarding the timeliness, reliability, suitability, sequence, accuracy, adequacy, consistency, or completeness of any information provided.
  • Any warranties that access to the Platform will be uninterrupted, timely, or error-free.
  • Any warranties that transportation services provided by Transport Partners will meet any particular standard of quality, punctuality, or comfort.

10. Limitation of Liability

Dropwayz seeks to limit its liability to the fullest extent permitted by law regarding any loss incurred by you or any other party. This includes, but is not limited to, liability for:

  • Inaccuracies, incompleteness, or delays in any information provided to you.
  • Failures occurring during payment transactions initiated by you.
  • Malfunctions, instabilities, or breakdowns of any software used by Dropwayz for service provision.
  • Disclosure, loss, theft, destruction, or inaccessibility of your account, password, or other data.
  • Termination of this Agreement at any time and for any reason.
  • Failure of the Platform to meet your specific requirements or purposes.
  • Events beyond Dropwayz's control, including accidents causing delays, exceptional or severe weather conditions, compliance with requests of the police, vandalism and terrorism, unforeseen traffic delays, industrial action by third parties, problems caused by other customers, circumstances affecting passenger safety, road closures due to local events, properties not accessible to the type of services booked, acts of God, landslide, road damage, flood, earthquake, avalanche or any other natural disaster, epidemic or pandemic, war or threat of war, fire or explosion, terrorist attack or riots, governmental restraints, and other natural calamities.
  • Acts or omissions of any Transport Partner, driver, or other third party.
  • Loss of or damage to baggage or personal belongings.
  • Personal injury or property damage during a transfer, which is the responsibility of the Transport Partner under their insurance obligations.
  • Unauthorised account access resulting from your failure to maintain credential security.

Dropwayz shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage, arising out of or in connection with the provision of the service, regardless of the negligence (either active, affirmative, sole, or concurrent) of Dropwayz, even if Dropwayz has been advised of the possibility of such damages.

Dropwayz's aggregate liability to you for any claims for damages — whether under contract, tort, warranty, or other law — resulting from, arising out of, or in connection with this Agreement shall under no circumstances exceed the transfer price paid by you to Dropwayz for the relevant transfer.

Nothing in this Agreement limits or excludes Dropwayz's liability for death or personal injury caused by Dropwayz's own gross negligence or wilful misconduct, or for any liability that cannot be excluded or limited by applicable law.

11. Indemnification

You agree to indemnify and hold harmless Dropwayz, its officers, directors, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Breach of this Agreement by you.
  • Exercise of rights, powers, or remedies concerning you under this Agreement by Dropwayz.
  • Infringement of Dropwayz's or third parties' intellectual property rights or other laws by you in connection with your use of the Platform.
  • Any claim by a third party (including a Transport Partner or driver) arising from your conduct or the conduct of passengers travelling under your booking.
  • Any inaccurate or misleading information provided by you to Dropwayz or a Transport Partner.

The indemnity provided by you shall operate without the necessity of expense being incurred by the Indemnified Parties first. Your indemnification obligations survive the termination or expiration of this Agreement.

12. Prohibited Conduct and Non-Discrimination

You must not use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other user's access or enjoyment of the Platform.

You must not:

  • Attempt to gain unauthorised access to the Platform or its associated systems or networks.
  • Reproduce, alter, distribute, or exploit the Platform or its content beyond the permissions explicitly granted by Dropwayz.
  • Engage in any unauthorised data collection activities that may overload or obstruct the Platform's operation.
  • Link to or frame any part of the Platform without explicit authorisation from Dropwayz.
  • Use Dropwayz's names, logos, or trademarks without explicit prior written permission.

Discrimination of any kind — including any form of distinction, exclusion, restriction, or preference based on race, nationality, ethnicity, religion, gender, age, disability, or any other protected characteristic — in connection with use of the Platform is strictly prohibited. In the event discriminatory requirements are indicated in a booking request, Dropwayz retains the right to reject the request and terminate this Agreement with the Passenger.

13. Intellectual Property

All intellectual property rights in and to the Platform, its content, software, design, and branding (including the Dropwayz name and logo) are owned by or licensed to Dropwayz and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of making and managing personal transfer bookings in accordance with this Agreement. You must not reproduce, alter, distribute, or exploit the Platform beyond this licence, and must not use Dropwayz's name, logo, or any trademarks without Dropwayz's explicit prior written consent.

14. Privacy, Data Protection, and Communications

Dropwayz is committed to compliance with applicable personal data protection legislation governing all aspects of data processing and collection.

Your personal data is collected, used, stored, and shared in accordance with Dropwayz's Privacy Policy, available at https://dropwayz.com/privacy-policy, which forms part of this Agreement by reference. By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy, including the sharing of necessary booking information with Transport Partners for the purpose of fulfilling your transfer.

By using Dropwayz's services, you acknowledge and agree to receive transactional communications from Dropwayz (including booking confirmations and support correspondence). You may additionally consent to receive advertising and marketing messages from Dropwayz, while retaining the right to decline such messages at any time using the relevant functionality within your account settings.

We do not sell your personal data to third parties.

15. Assignment

You shall not assign or transfer any of your rights or obligations under this Agreement without obtaining Dropwayz's prior written consent. Dropwayz reserves the right to assign or transfer any of its rights or obligations under this Agreement without requiring your prior written consent.

16. Termination

Dropwayz reserves the right to terminate this Agreement immediately and without prior notice if:

  • You breach any provision of this Agreement.
  • Legal requirements mandate termination.
  • Dropwayz deems continuation commercially unviable.

You may terminate your account at any time by contacting [email protected]. Termination does not affect any confirmed bookings already in place, which remain subject to the cancellation terms in Section 5. Dropwayz will notify you of any termination initiated by Dropwayz via the contact details registered on your account.

Provisions that by their nature should survive termination will continue to apply, including Sections 9, 10, 11, 13, and 17.

17. Dispute Resolution

In the event of any dispute arising from or relating to this Agreement or your use of the Platform, we encourage you to contact Dropwayz's support team at [email protected] in the first instance to seek an informal resolution.

Any disputes arising from this Agreement that cannot be resolved informally shall be resolved through arbitration under the Arbitration Rules of the American Arbitration Association, with arbitration proceedings conducted in English and the seat of arbitration in California, United States.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction. You and Dropwayz each waive any right to a jury trial, and agree that any dispute shall be resolved on an individual basis and not as part of a class, collective, or representative action.

18. General Provisions

Waiver of Offset

You agree to waive any right of set-off, counterclaim, or similar remedy against amounts due to Dropwayz under this Agreement.

No Affiliation

This Agreement establishes no partnership, joint venture, advisor, fiduciary, agency, or trustee relationship between you and Dropwayz or any other party.

Waiver and Remedies

No failure or delay by Dropwayz to exercise any right under this Agreement shall constitute a waiver of that right. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights provided by law.

Severability

Should any provision of this Agreement be deemed illegal, void, unenforceable, or invalid under the laws of any jurisdiction, that provision will be severed. Such severance will not affect the validity or enforceability of the remaining provisions in that jurisdiction or any other jurisdiction. This does not apply if the severance alters the fundamental nature of this Agreement or contravenes public policy.

Entire Agreement

This Agreement, together with the Privacy Policy and any Transport Partner-specific terms communicated at the time of booking, constitutes the entire agreement between you and Dropwayz with respect to the subject matter hereof and supersedes all prior agreements, representations, or understandings.

Force Majeure

Dropwayz will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, threat of war, terrorism, riots, fire or explosion, governmental restraints, industrial action by third parties, or infrastructure failures.

19. Notices and Contact

Communications from Dropwayz may be disseminated through announcements posted on the Platform or via email to your designated email address on file. You are responsible for keeping your contact details current. Correspondingly, communications directed to Dropwayz may be transmitted to the contact details provided below.
